Welcome to BookAI ("bookai.ca"), an AI-powered phone receptionist and appointment booking service operated by System Technology Services Ltd. ("Company," "we," "us," or "our"), a corporation registered in Ontario, Canada.

By accessing or using our Service, creating an account, subscribing to any plan, or clicking "I Accept" or similar button, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations.

2. Service Description

BookAI provides an AI-powered virtual phone receptionist service that:

  • Answers incoming phone calls on behalf of your business
  • Engages in natural language conversations with callers
  • Schedules, reschedules, and cancels appointments
  • Provides information about your business services and hours
  • Records call logs and appointment data

The Service utilizes artificial intelligence and third-party providers including but not limited to voice synthesis, speech recognition, and telephony services.

3. AI Technology Disclaimer

IMPORTANT: BookAI uses artificial intelligence technology that, while advanced, has inherent limitations:

  • AI responses may occasionally be inaccurate, incomplete, or inappropriate
  • The AI may misunderstand caller requests or provide incorrect information
  • Speech recognition may fail or misinterpret spoken words
  • The AI cannot handle emergencies, medical advice, legal matters, or complex situations
  • Appointment bookings made by AI should be verified by your staff
  • The AI may experience downtime, delays, or technical failures

YOU ACKNOWLEDGE THAT AI TECHNOLOGY IS NOT INFALLIBLE AND ACCEPT ALL RISKS ASSOCIATED WITH ITS USE.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

4.1 System Technology Services Ltd., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of revenue, profits, business, or anticipated savings
  • Loss of data or information
  • Loss of goodwill or reputation
  • Missed appointments or booking errors
  • Customer complaints or dissatisfaction
  • Business interruption or downtime
  • Any damages arising from AI errors or misunderstandings
  • Third-party claims against you or your business

4.2 IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

4.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

5. Disclaimer of Warranties

5.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

5.2 WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • The quality of the Service will meet your expectations
  • Any errors in the Service will be corrected
  • The AI will correctly understand or respond to all callers

6. User Responsibilities

By using the Service, you agree to:

  • Provide accurate and complete business information
  • Regularly review and verify AI-booked appointments
  • Maintain backup systems for critical business functions
  • Not rely solely on the AI for emergency or time-sensitive matters
  • Inform your customers that they may be interacting with an AI system
  • Comply with all applicable laws, including privacy and telecommunications regulations
  • Not use the Service for any illegal, harmful, or unauthorized purposes
  • Keep your account credentials secure and confidential
  • Promptly notify us of any unauthorized access or security breaches

7. Indemnification

You agree to indemnify, defend, and hold harmless System Technology Services Ltd., its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations
  • Any claim by your customers, clients, or third parties related to the Service
  • Any content or information you provide to the Service

8. Third-Party Services

The Service integrates with and relies upon third-party services including but not limited to:

  • Voice AI providers (Vapi.ai)
  • Telephony services (Twilio)
  • Payment processing (Stripe)
  • Cloud infrastructure and hosting

We are not responsible for the availability, reliability, or performance of these third-party services. Your use of such services is subject to their respective terms of service and privacy policies.

9. Data and Privacy

9.1 We collect and process data as described in our Privacy Policy.

9.2 You are responsible for ensuring that your use of the Service complies with applicable privacy laws, including PIPEDA (Personal Information Protection and Electronic Documents Act) in Canada.

9.3 Call recordings and transcripts may be stored for quality assurance and service improvement purposes.

9.4 You are responsible for obtaining any necessary consents from your customers regarding data collection and AI interaction.

10. Payment and Billing

10.1 Subscription fees are billed in advance on a monthly basis in Canadian Dollars (CAD).

10.2 All fees are non-refundable except as required by law or as explicitly stated in our refund policy.

10.3 We reserve the right to change our pricing with 30 days' notice.

10.4 Failure to pay may result in suspension or termination of your account.

11. Termination

11.1 You may terminate your account at any time through your dashboard settings.

11.2 We may suspend or terminate your account immediately if you violate these Terms or engage in any fraudulent, abusive, or illegal activity.

11.3 Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our data retention policies.

12. Governing Law and Jurisdiction

12.1 These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

12.2 Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

12.3 You waive any objection to venue in such courts.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and/or sending you an email notification. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

14. Miscellaneous

14.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and System Technology Services Ltd. regarding the Service.

14.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

BY USING THE BOOKAI SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU ARE AGREEING TO THESE TERMS ON BEHALF OF A BUSINESS OR ORGANIZATION, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY TO THESE TERMS.
